Rebuild these balances customer by customer and vendor by vendor:

  • Which receivables transfer, and who collects them?
  • Which invoices are disputed, concentrated, aged, or unbilled?
  • Which customer deposits or deferred-revenue balances require future service?
  • Which payroll, commission, bonus, tax, and benefit obligations were accrued?
  • Which payables are normal trade balances versus delayed or disputed obligations?
  • Which contracts permit assignment, require consent, or reset billing details?

The working-capital peg model handles the closing negotiation. The integration model takes the agreed balance sheet and forecasts when each item becomes cash.

  7. Realized synergy cash.
  8. Ending cash and remaining line availability.
  9. Headroom above the protected floor.

Keep the acquired operation visible until collection, billing, margin, and payroll data are dependable. Consolidating too early makes it difficult to tell whether the core company is funding the target or the target is funding itself.

A worked 100-day integration case

Assume a home-services platform acquires a second operator. Immediately after closing, consolidated cash and available revolver capacity total $1,050,000. The protected floor is $600,000, leaving $450,000 of usable headroom.

  • Role savings begin six weeks late, delaying $31,000 of cash benefit.

The downside consumes another $146,000. Headroom falls to negative $48,000. The acquisition can still be strategically sound while the funding structure is unsafe.

That distinction matters. The response could be a larger committed facility, more equity, delayed discretionary spending, revised integration timing, or a lower purchase price. “We will collect faster” is not a funding plan.

Count synergies only after four tests

Synergies deserve their own register. For each item, record:

  • Baseline spend or gross profit.
  • Named action and accountable owner.
  • One-time cost to achieve.
  • Earliest operational completion date.
  • Earliest P&L benefit date.
  • Earliest cash benefit date.
  • Evidence and confidence level.

A $120,000 annual software saving is not $10,000 of cash in the first month if the old contract has nine months left. Eliminating a role is not immediate cash if retention and severance are paid first. Procurement savings do not exist until the price, quantity, mix, and payment term actually change.

Potential dis-synergies include:

  • Salespeople distracted by new processes.
  • Customers delaying approval or leaving after a relationship change.
  • Billing pauses during system migration.
  • Overtime, rework, or callback cost during cutover.
  • Managers spending time on integration instead of service delivery.
  • Duplicate insurance, software, or facility commitments lasting longer than planned.
  • Price or service differences that cannot be harmonized immediately.

Keep purchase accounting out of the liquidity shortcut

Accounting treatment does not determine cash timing. For a business combination, acquisition-related advisory, legal, and accounting costs can be expensed as incurred under U.S. GAAP, while other payments may become consideration, compensation, financing cost, or acquired liabilities depending on the facts.

The tax allocation also matters. The IRS requires buyer and seller reporting on Form 8594 for qualifying asset acquisitions, and later changes in consideration can require supplemental reporting. Those classifications belong with the transaction accountant and attorney.

The cash model should still show every expected payment on its actual date. Do not remove a payment merely because management plans to call it “one-time” in adjusted EBITDA.
