Fractional CFO for Government Contractors: Indirect Rates, Backlog, and Compliance

A $12 million contract ceiling does not mean a government contractor has $12 million of backlog.
Some work may be unfunded. An option year may never be exercised. An indefinite-delivery vehicle may carry a large ceiling without an awarded task order. A cost-reimbursable contract can generate revenue while actual indirect rates move away from the billing rates. A fixed-price contract can look compliant and still lose money.
A fractional CFO for a government contractor should connect authorized work, funding, contract type, direct cost, indirect rates, billing, collections, compliance obligations, and cash. The job is not to replace the contracts team, controller, qualified GovCon accountant, counsel, or contracting officer. Start with contract type and authority to perform
Finance should not interpret every award through one margin model.

Read the executed agreement, modifications, funding notices, task orders, and applicable clauses. “Government contract” is not a single economic or compliance model.

The CFO owns the financial bridge. Contract and legal specialists own interpretations outside finance's authority.
Convert award value into usable backlog
Assume a contractor describes one program as a $12 million award. The current position is:

The firm has $2.15 million of current operating backlog in this example, not $12 million.
For each work package, add labor category, clearance or location requirements, subcontract commitments, period of performance, revenue and cost burn, funded-to date amount, limitation notifications, billing form, and expected payment timing.
This prevents two expensive errors: hiring against unawarded capacity and discovering too late that the funded work requires a different skill mix from the available team.
Indirect rates are a forecast and a compliance structure
An indirect rate expresses a defined pool of allowable indirect cost over an appropriate allocation base:
Indirect rate = allowable indirect cost pool ÷ allocation base
A contractor may use fringe, overhead, general and administrative, or other logical pools and bases appropriate to its business and contract requirements. The structure, consistency, allowability, and allocation logic matter as much as the percentage.
Consider a simplified annual forecast:

These are hypothetical rates, not a recommended structure. The company must apply the definitions and allocation practices that fit its contracts and comply with the applicable requirements.
The CFO should maintain four views:
- Budgeted rates used in the operating plan.
- Forward pricing rates used in proposals where appropriate.
- Provisional or billing rates applied to interim reimbursement where applicable.
- Forecast and final actual rates based on allowable cost and actual bases.
Mixing them can create bad bids, distorted contract margin, or a cash surprise at settlement.
Show rate variance in dollars
Suppose the contractor has billed engineering overhead at 55% on $1.5 million of engineering direct labor:
$1,500,000 × 55% = $825,000
The forecast actual overhead pool is $900,000, or 60%. The simplified under-recovery is $75,000:
$900,000 − $825,000 = $75,000
If G&A was billed at 16% on a $4 million base while forecast actual G&A is 17.5%, the difference is another $60,000:
$4,000,000 × 1.5% = $60,000
The total $135,000 does not automatically become a collectible receivable. Recovery depends on contract type, funding and ceilings, allowability, the applicable clauses, rate establishment, and final settlement. On a fixed-price contract, there may be no customer true-up at all; the higher actual rate simply reduces internal margin.
The management schedule should therefore show rate variance, potential contract recovery, ceiling exposure, and cash timing separately.

FAR timing turns rate management into cash management
The current FAR 52.216-7 clause requires an adequate final indirect cost rate proposal within six months after the contractor's fiscal year for contracts containing that clause, subject to the clause's terms and limited written extensions for exceptional circumstances. It also says interim billing rates should anticipate final rates and may be revised to avoid substantial overpayment or underpayment.
That creates a practical calendar:
- Monthly actual-rate forecast.
- Quarterly or more frequent rate and contract-impact review.
- Year-end close and allowability review.
- Proposal preparation and support.
- Final-rate negotiation and billing true-up.
Do not wait until the incurred-cost submission to learn that the base shrank, overhead grew, an expense may be unallowable, or a contract ceiling prevents recovery.
DCAA's contractor guidance also makes an important distinction: the agency does not recommend or approve a specific commercial accounting software package. The question is whether the contractor's accounting-system design and operation meet the relevant criteria for the contemplated or awarded work. Buying software labeled “DCAA compliant” does not make timekeeping, cost segregation, controls, or actual use adequate.
Contract margin needs an estimate to complete
For every material contract or task order, show:
- Funded and contractual ceiling.
- Revenue and billings to date.
- Direct labor hours and cost by category.
- Subcontract and other direct-cost commitments.
- Indirect cost using the latest forecast rates.
- Fee or profit.
- Estimate to complete.
- Forecast final margin and cash.
Assume a fixed-price task order has $1.8 million of revenue. The original cost plan was $1.53 million, leaving $270,000 of profit, or 15%.
After six months:
- Cost incurred is $890,000.
- The fresh estimate to complete is $760,000.
- Forecast final cost is $1.65 million.
- Forecast profit is $150,000, or 8.3%.
The project has lost $120,000 of forecast profit before completion. The cause might be labor mix, rework, an optimistic bid, delayed government-furnished information, subcontractor cost, schedule extension, or work outside the current scope. Finance should quantify it while the contracts and program teams determine the valid operational and contractual response.

Compliance belongs in the forecast—not in a separate binder
The financial plan should record the cost and timing of obligations that apply to the company's actual awards, which may include:
- Timekeeping and labor distribution.
- Direct versus indirect cost consistency.
- Unallowable-cost identification.
- Billing support and reconciliation.
- Subcontract monitoring and invoice support.
- Incurred-cost or rate submissions.
- System, estimating, purchasing, or other control requirements.
- Wage, cybersecurity, property, or reporting obligations when applicable.
Not every requirement applies to every contractor. The executed contract and qualified advisers determine scope.
The CFO should ensure owners, evidence, due dates, and expected cash effects exist. A compliance item without an owner is a future billing or audit exception; a forecast without compliance cost overstates margin.
Funded backlog still may consume cash
Consider a six-week window:

The work may be profitable and funded. Cash still falls because labor and subcontractors are paid before supported invoices clear, billing rates may under-recover current cost, or a voucher waits on acceptance.
The thirteen-week cash-flow forecast should model invoice and collection dates by contract, not one company-wide DSO assumption. Include rate true-ups, funding limits, withheld amounts, tax, debt, and proposal spending.
